Terms of Service

Acceptance

These Terms govern access to and use of Kuzy, including the Kuzy desktop app, website, dashboard, hosted gateway, billing flows, documentation, and related services. By creating an account, downloading the app, using the hosted gateway, or purchasing a plan, the user agrees to these Terms.

If a user uses Kuzy for an organisation, they confirm they have authority to bind that organisation. In that case, "you" means both the individual user and the organisation.

Business Orders

If Kuzy is purchased under an order form, invoice, enterprise agreement, marketplace listing, or procurement document accepted by Kuzy, that document may add commercial terms such as seats, usage, price, support level, term, renewal, or security exhibits. If there is a conflict, the signed or accepted business document controls for the conflicting commercial term, and these Terms continue to apply to everything else.

Purchase order terms or vendor portal terms supplied by the customer are rejected unless Kuzy expressly accepts them in writing.

Who Operates Kuzy

Kuzy is the trade name used for the product and services available at kuzy.ai and in the Kuzy desktop applications. In these Terms, "Kuzy", "we", "us", and "our" mean the operator of the Kuzy service.

Kuzy may update the legal operator, payment merchant, tax registration, or contracting entity as the business moves between jurisdictions. That change will not reduce user rights under these Terms. For legal, regulator, payment, or data-protection requests, contact legal@kuzy.ai. Kuzy will provide applicable legal-entity details where required to verify the contracting party or comply with law.

The Service

Kuzy is a Mac and Windows AI coding assistant. It can help create features, fix bugs, update websites, inspect code, suggest changes, run checks, and use connected tools when authorised.

Kuzy has two operating modes:

  • Local desktop mode: the desktop app runs on the user's machine and can work with local files and tools the user chooses to expose.
  • Hosted gateway mode: requests are routed through Kuzy hosted infrastructure to model providers and metered against the user's plan or wallet.

Users may also use their own model-provider keys where supported. In BYOK mode, the provider relationship is direct and the user is responsible for provider charges and provider terms.

Eligibility

Kuzy is intended for users aged 16 or older. Users must not use Kuzy if they are barred from doing so under applicable law, sanctions rules, or export-control rules.

Accounts and Security

Users must keep account credentials, OAuth accounts, API keys, and local devices secure. Users are responsible for activity under their account unless caused by Kuzy's breach of the Terms or applicable law. Suspected unauthorised access should be reported to security@kuzy.ai.

Plans, Billing, and Credits

Paid plans are billed through Stripe or another payment provider shown at checkout. Prices, included usage, renewal periods, and top-up rules are shown on the pricing page and at checkout before payment.

  • Subscriptions renew automatically unless cancelled before renewal.
  • Included monthly usage resets each billing cycle and does not roll over unless the plan explicitly says otherwise.
  • Top-up wallet balance, if offered, is used for additional hosted usage and is not a bank account, stored-value instrument, or cash-equivalent product.
  • Taxes may be added based on billing location and provided information.

Stripe may require legal, tax, address, or business information for payments, receipts, fraud prevention, and regulatory compliance. Card details are handled by Stripe; Kuzy does not store full card numbers.

Refunds and Cancellation

Users can cancel a subscription from the billing dashboard or billing portal when available. Cancellation stops future renewals; hosted access may continue until the end of the paid period unless the plan or refund outcome says otherwise.

Refund details are in the Refund Policy. Nothing in the Terms limits mandatory consumer rights that cannot be waived by contract.

Desktop App and Local Work

The desktop app can read, create, edit, and delete files, run shell commands, call MCP tools, access connected services, and make network requests when the user permits those actions. The user is responsible for choosing the workspace, permissions, tools, and secrets made available to Kuzy.

Kuzy may display proposed file edits, command output, approvals, or tool calls, but the user remains responsible for reviewing changes before shipping, deploying, committing, or exposing them to users.

Users should maintain backups, version control, access controls, and rollback paths for projects where Kuzy is used. Kuzy is not responsible for loss caused by granting the app access to the wrong folder, account, key, environment, database, or production system.

Customer Content and Output

Users retain ownership of code, files, prompts, uploads, tool outputs, and other materials provided to Kuzy ("Customer Content"). Users grant Kuzy a limited licence to process Customer Content only to provide, secure, troubleshoot, and improve the service as described in the Privacy Policy.

As between the user and Kuzy, the user may use output generated by Kuzy subject to the Terms, third-party rights, applicable law, and model-provider terms.

AI Output and Review

AI output can be wrong, incomplete, insecure, biased, or unsuitable for the user's use case. Kuzy may generate code that fails tests, introduces vulnerabilities, infringes third-party rights, or behaves differently than expected. Users are responsible for review, testing, security assessment, licences, and production deployment decisions.

Kuzy is not legal, financial, medical, tax, HR, or other regulated professional advice.

Third-Party Services

Kuzy can connect to third-party services such as model providers, Git providers, payment services, MCP servers, browsers, terminals, databases, hosting providers, and internal tools. Use of those services remains subject to their terms. Kuzy is not responsible for third-party services it does not control.

Production Use

Kuzy can assist with production software, but it is not an autonomous release authority. Users are responsible for deciding whether output is safe to merge, deploy, publish, send to customers, or run against production systems. Business users should keep human review, tests, code review, security review, least-privilege credentials, change logs, and approval workflows appropriate to the risk of the work.

Users must not use Kuzy as the sole decision-maker for high-impact decisions about people, regulated advice, safety-critical systems, medical devices, critical infrastructure, weapons, emergency services, financial eligibility, employment, housing, insurance, legal rights, or similar domains.

Acceptable Use

Users must comply with the Acceptable Use Policy. Kuzy must not be used for malware, credential theft, fraud, unlawful surveillance, harassment, CSAM, unauthorised access, or activity that violates sanctions or export controls.

Compliance

Users are responsible for ensuring their use of Kuzy complies with laws and contractual duties that apply to them, including privacy, employment, intellectual-property, open-source licence, export-control, sanctions, procurement, security, and industry regulations. Users must not use Kuzy in embargoed jurisdictions or for restricted end uses prohibited by applicable export-control or sanctions laws.

If an organisation has internal rules for source code, secrets, customer data, or production access, the organisation is responsible for configuring Kuzy and connected tools to follow those rules.

Intellectual Property

Kuzy's software, brand, website, design, documentation, hosted services, and underlying technology are owned by Kuzy or its licensors. Kuzy grants users a limited, revocable, non-exclusive, non-transferable licence to use Kuzy in accordance with the Terms.

Open-source components are governed by their own licences.

Availability and Changes

Kuzy may update, add, remove, suspend, or discontinue features. Kuzy aims to provide notice of material changes that negatively affect paid users, but some changes may be urgent for security, legal, provider, or operational reasons.

Kuzy does not provide a service-level commitment, uptime guarantee, support response time, or data-recovery commitment unless one is stated in a separate written business agreement or order form.

Beta Features

Some features may be labelled beta, preview, experimental, early access, or similar. Beta features may change, break, produce lower-quality output, have limited support, or be discontinued. Users should not rely on beta features for production workflows unless they have tested them and accepted the risk.

Suspension and Termination

Kuzy may suspend or terminate access if a user violates the Terms, creates security or legal risk, fails to pay, abuses the service, or uses Kuzy in a way that could harm others. Where practical and lawful, Kuzy will give notice and an opportunity to cure.

Consumer Rights

If the user is a consumer, mandatory consumer protection laws in the user's country may give rights that the Terms cannot limit. For UK and EU users, distance-selling and digital-content rules may apply depending on whether the purchase is a service, digital content, or mixed contract and whether performance has begun with consent.

Disclaimers

Kuzy is provided "as is" and "as available". To the fullest extent permitted by law, Kuzy disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.

Liability Limits

To the fullest extent permitted by law, Kuzy's total liability for claims arising from or related to the service is limited to the greater of USD $100 or the amount paid to Kuzy in the 12 months before the event giving rise to the claim. Kuzy is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity.

These limits do not exclude liability that cannot be excluded under applicable law, including liability for fraud, wilful misconduct, or death/personal injury caused by negligence where such exclusions are not allowed.

Indemnity

If Kuzy is used on behalf of a business, that business will defend and indemnify Kuzy against third-party claims arising from Customer Content, use of Kuzy, connected tools, breach of the Terms, or violation of law. This section does not apply to consumers where prohibited by law.

Governing Law

The Terms are governed by the laws of England and Wales, except that mandatory consumer-protection laws of the user's place of residence may also apply. Courts of England and Wales have non-exclusive jurisdiction unless mandatory local law gives the user the right to bring proceedings elsewhere.

If the Kuzy legal operator changes to a United States entity, Kuzy may update this section prospectively. Existing mandatory consumer rights will not be reduced.
